Terms of service

1. The service

ti3 ("the Service") is software that helps original creditors manage first-party invoice recovery. You use ti3 to send communications, in your own name, to your own customers about overdue invoices you've issued. ti3 is operated by Captira Analytical, LLC ("we", "us", "ti3").

2. Who can use ti3

You may use ti3 if you are an original creditor, billing in your own name for goods or services you delivered to your own customers. You may NOT use ti3 if you are:

• A third-party debt collector as defined under the FDCPA or analogous state laws.
• Buying or holding debts originated by other parties for collection on their behalf.
• Operating in a jurisdiction where we don't currently support the service.

Misuse of the platform by a third-party collector violates these terms and may result in immediate termination plus reporting to relevant authorities.

3. Account responsibilities

• You are responsible for the accuracy of the data you upload (debtor contact information, invoice amounts, etc.).
• You are responsible for ensuring you have the legal right to contact the debtors you upload (you billed them, they owe you, you have a current contact channel).
• You are responsible for keeping your account credentials secure.
• You are responsible for any activity that occurs under your account.

4. Payments and billing

Pricing is published at /pricing. Self-Serve and Managed plans are month-to-month and bill in advance. Enterprise plans bill per the negotiated agreement. Failed payments may result in suspension after 7 days; cancellation after 30. Refunds: see Section 5 (the 30-day Managed guarantee) and Section 9 (general refunds).

5. The 30-day Managed plan guarantee

Detailed at /guarantee. The short version: if you sign up for the Managed plan and we recover nothing in your first 30 days of active service, we refund the first month and send you a written report. The guarantee covers Managed only, not Self-Serve or Enterprise.

6. What ti3 does and doesn't do

• ti3 sends communications you've configured (or that we operate on your behalf in the Managed plan), in your name and from your business identity.
• ti3 routes payments directly to your payment account (Stripe, PayPal, etc.). ti3 never holds debtor funds.
• ti3 is not a guarantor of recovery. Recovery rates depend on many factors outside our control (debtor circumstances, age of accounts, account size, etc.).
• ti3 is not a debt collector and does not provide debt collection services as defined under the FDCPA.
• ti3 does not provide legal, tax, or accounting advice. Consult your own counsel for those.

7. Your data

You retain all rights to the data you upload. You grant ti3 a limited license to process that data for the sole purpose of providing the service. We won't sell it, share it with third parties (other than the service providers listed in our privacy policy), or use it to train AI models. On account closure, your data is retained per the schedule in our privacy policy.

8. Acceptable use

You may not:

• Use ti3 to send communications that violate applicable law (TCPA, CAN-SPAM, FDCPA where it would apply, state-level analogues).
• Use ti3 to harass, threaten, or send abusive content.
• Upload data you don't have the right to upload.
• Attempt to reverse engineer, scrape, or otherwise circumvent the platform.
• Use ti3 to compete with ti3 (build a competing service using the platform as backend).

9. Cancellation and refunds

You can cancel any time from your account settings. Self-Serve cancellations take effect at the end of the current billing period (no prorated refund). Managed cancellations follow the same rule, except where the 30-day guarantee applies. Enterprise cancellation terms are per the negotiated agreement.

10. Limitation of liability

To the maximum extent permitted by law, ti3 is not liable for indirect, incidental, special, or consequential damages arising from use of the service. Our total liability for any claim is limited to the fees you paid us in the 12 months preceding the claim. Some jurisdictions don't allow these limitations; in those places, our liability is limited to the maximum extent permitted.

11. Indemnification

You agree to indemnify ti3 against claims arising from your misuse of the platform, your violation of these terms, or your violation of applicable law in connection with your use of the service.

12. Changes to these terms

We may update these terms; if changes are material, we'll notify you by email at least 30 days before they take effect. Continued use after that constitutes acceptance.

13. Governing law and disputes

These terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law principles. Disputes are subject to the exclusive jurisdiction of state and federal courts located in New York.
